Seeking Equity - Niche Construction Distribution

I am in LOI with a construction distribution business. This business is doing ~$2.5M in revenue and ~$500K in SDE and is currently semi-absentee run. We are in LOI for $1.25M and I am now looking to close the equity/debt component of the deal.
