Investor for All-Equity Deal | $12mm EV

Looking for investors who might be interested in investing alongside a searcher in an all-equity deal (preferred equity with 15% coupon, minority participation in common equity).

Deal can be refinanced shortly after closing and most/all of the pref investment investment can be returned. Attractive investment opportunity in a niche that didn't see any casualties during the financial crisis or thereafter.
