Help with valuation & proposed structure (~1MM SDE)

I've been talking to an owner for a while and things are starting to get serious. This is my first acquisition, does ~1MM SDE, and I'm looking for referrals to help with the financial side. To start off I could use help figuring out a valuation and proposed structure for an LOI and for pitching the bank..
