Hey SF community, I'm planning on structuring my search fund vehicle outside of Russia where I will be searching for a business to acquire. The intent is to use an English law system (or a system based on English law) to manage relations between investors and a searcher.

Has anyone used Cyprus to structure their search fund vehicle and would be willing to share their experience?

This will only work as long as things are cordial - it is notoriously difficult to enforce contracts across borders. You'll need local(!) contracts enforcing an International ADR requirement. But even then you'll be looking at years to resolve any real dispute.

So how to do it? Keep everything in one country using corporate ownership structures to cross the borders. But that only works if the parties are comfortable with restructuring like that...
