DILIGENCE AND MERGER INTEGRATION LEAD

Currently we are in the process of acquiring a series of clinical testing laboratories as part of an industry consolidation. Our strategy involves acquiring an initial platform company and driving growth by conducting add-on acquisitions of additional clinical laboratories and other complementary businesses. In the process we are interested in gaining additional scale in the test modality of the platform company as well as offering related tests. Our strategy also involves sourcing new testing technologies through a combination of organic and inorganic methods to introduce proprietary new tests and related services.
For context, the value for the platform transaction is approximately $100M with the add on transactions on average ranging from $25 to $40M.
To meet these objectives, we are assembling a team of people with M&A experience in the clinical laboratory industry. The goal is to successfully vet and close a series of transactions and integrate the acquired companies, post-transaction. Timing: Immediate. We are currently in the process of conducting diligence on the initial platform company which we expect to complete in the July time frame. We expect to complete follow-on transactions as well as a conduct post-merger integration projects over a period of 18 to 24 months.
Compensation involves a combination of cash and incentive stock in the holding company.
The role is 3-fold involving the following;
1-Diligence Lead: Coordinate all aspects of the diligence process including financial, regulatory, operational, legal, HR & Benefits, and tax diligence workstreams. Involves assisting senior management in working with 3rd party service providers as well as working with members of the in-house team on financial analysis risk assessment and mitigation. Support senior management in obtaining investment committee approvals.
2-Integration Planning Lead: Consulting or Private equity Senior Manager or Director level professional with minimum 7 to 8 years-experience. Coordinate with the senior management on strategy development and implementation planning of integration projects post-closing spanning all business functions including clinical, product development, sales & marketing, technology, change management and back-office functions such as finance, Human Resources, procurement etc. Integrate with financial analysts to develop and maintain the business case. Coordinate with various decision makers and stakeholders on change management and ensure organizational alignment.
3- Post Merger Integration Lead: Consulting or Private equity Senior Manager or Director level professional with minimum 7 to 8 years-experience. - Serve as lead project management officer to implement the cross-functional projects identified in integration planning. We envision this to be the same person as the Integration Planning Lead.
