Can anyone recommend buy-side legal & tax advisors for $3m-$6m businesses

Hi all,

Can anybody recommend a legal firm they have personally worked with that specializes represented buyers of online businesses in the $3m-$6m EPV range. Funding will come from SBA with some of the capital injection coming from a few accredited investors, so  I need a firm who is able to help with navigating not just the deal itself, but also investor terms sheets, navigating securities rules 504/506/etc, and in setting up the right entity structure to maximize returns to investors at exit in 3-5 years. 

If anybody can point to any CPAs or tax professionals who might be able to answer a few basic questions around tax planning and entity structure to optimize returns to investors at exit, that alone would be valuable.

Ill provide a counterpoint. Locality is one factor, but transactions are easily dealt with remotely and in most circumstances, you can get in the same room relatively if truly required. Given that outside investors are coming in quickly, they may also have a strong opinion on structure. I am happy to provide my $0.02 offline if of value, but you should focus on (a) industry expertise and (b) compatibility with your workflow and business goals. Best of luck!
