Are there recommendations for attorneys? Seems like if I get a qualified M&A attorney, I am paying through the nose (corporate M&A or PE rates) and if I get a local all-purpose business attorney, they think a tipping basket is for a local street musician. I'm looking for:

LOI review
PSA negotiation
Reps and Warranties
Closing

Hire advisors having a proven history of working for buyers and sellers of the kind and size of deal you intend. Ask how they have FACILITATED deals that should and did occur. Hire deal makers, deal closers.

• Avoid advisors who don’t know enough about dealmaking for small and midsize companies. Not wanting to make mistakes these poseurs are more likely to poo-poo deals or (worse) bless them.

• Hire adequately experienced experts. When they tell you to kill the deal, kill it.

Compatibility among team members is essential.

Your concerns are well put. At the end of the day, you want a solid blend in an attorney/firm that can handle the transaction but also support the transition and ultimate growth plan post-acquisition. My advice is to discuss with a few options and choose the attorney that best fits your vision because if utilized correctly, that attorney can provide value in many ways including coordinating advisors and shaping legal strategy to fit business goals. Happy to give my $0.02 on the subject to help in the search if of interest. In any case, best of luck.
