Close to signing an LOI on a company located in the Netherlands (Amsterdam-Utrecht region). 30M revenue, 2M EBITDA. Looking for advisors to conduct due diligence (already have a capable M&A lawyer). Ideally small but capable firms for i financial, ii tax, iii employment, iv environment & licenses. Anyone with experience who can make a recommendation ?

Hi Fred, this ticket size is not my sweetspot, but I have asked around a bit for you. For financial you can look at Accuracy or Sincerius that specialize in SME, which makes it more appealing than for instance a big 4. For tax: Atlas.

I do not know anything about the target, but I am sure you have considered that the margin seems thin-ish (6-7%), so if you haven't aready, I recommend you build scenarios where you stress test for increasing costs. Today we learned inflation in NL is 14-17%, so that would eat up a lot of that margin if (a part of) that cannot be charged back to the consumer. As for the DD process it would be good if the seller has engaged an M&A advisor so that the process is done diligently (downside is tougher negotiations). You can consider using a W&I insurance, but it will cost you x% (can look up rates later), as part of the negotiations you can get the seller to pay. Use a VDD provider such as Virtual Vaults.

Also bought a Dutch company. Got Holthaus to help with finance, tax and employment due dilligence. (Not impressed with the employment side of things though). My current accountant would also be a good fit for the finance and tax due dilligence, HLG. (They represented the seller at the time and now I work with them)
