Accountant and Lawyer reccomendation

Hi, 

I am moving into a diligence with a quick turnaround. Would love recommendations for a lawyer to help with the purchase agreement and structuring, as well as an accountant that can help with proof of cash and quality of earnings. 

Business is located in Van Nuys CA, and I'm in NYC for now.
