Why we’re allergic to boilerplate

Every APA we draft starts from real deal experience. Not templates. Because we’ve seen reps that looked fine, until the deal closed. We’ve seen indemnities that sounded good, but couldn’t be enforced. Paper doesn’t protect you unless it’s real. We write it like it’ll be tested. Because one day, it might.
