What Should Searchers Know Before Buying a 3PL, Warehousing, or Distribution Business?
I’m currently exploring 3PL, warehousing, fulfillment, and distribution-related businesses as part of my acquisition search and would love to learn from others who have spent time in this space. By way of background, I’m a full-time, self-funded searcher based in the Bay Area. I started searching in April 2026 after 15+ years in operating, growth, strategy, and scaling roles at Google and Meta. My experience is not directly in 3PL or distribution centers, so I’m trying to be thoughtful before developing a stronger point of view on the space. I’m especially interested in hearing from searchers, operators, brokers, or investors who have evaluated or acquired businesses in this category. A few areas I’d love to better understand: 1) What makes a good 3PL / distribution center business attractive? 2) What are the biggest diligence red flags? 3) How do you think about customer concentration, contracts, and churn? 4) How labor-intensive are these businesses in reality? 5) What role does technology / WMS / process discipline play? 6) Are there certain niches within distribution or fulfillment that are better than others? 7) What has worked well, and what has not worked as expected? I’m still early in forming my view here, so I’d be grateful for any lessons learned, cautionary tales, or perspectives from people who have looked closely at the space.
