Simplicity is always a laudable goal, but is not always possible. The level of complexity in an NDA may change based upon industry or contemplated deal timeline and terms. Of course, that's from a lawyer so feel free to take the comment with a grain of salt. (:

Why would a buyer need an NDA? What information are they trying to keep confidential?
