Using Investors to Fund Your Down Payment? Work With Us Before the October 1 Rule Change.
This post is for anyone using investor money for their down payment. The SBA just released a new set of rules. They kick in on October 1, 2026. Here are the biggest changes for investor-funded deals: -Your investors can no longer cover your full down payment. -They can only cover 5% of the deal. You must put in the other 5% yourself. -Investors get no distributions on the money they put toward the down payment. They only earn distributions on any extra money they put on top. If investors were going to fund your down payment for a business acquisition, that structure will not work after October 1. But here is the good news. You have a short window to get your PLP number pulled and get your deal grandfathered in. Once that window closes, you will need to restructure your entire deal.
