US<>CA cross-border deal; legal, tax & accounting support needed

Hello,

I'm at LOI stage (aligned on key terms, will sign today/tomorrow) for a business incorporated in Canada and also has a US C Corp with an inter-company agreement between the two entities. I'm a US citizen. The business is a tech-enabled service.

Looking to understand 1. the legal, tax & accounting team required to assist in the purchase and transition and 2. any recommendations for individuals/firms to support.

No financing is required (cash+seller financing+retained equity). ~0.5M ebita with 5 employees + contractors located in Canada.
