US buyer / Canadian company. Pitfalls or strategies to consider?

Apologies in advance that this may be a very broad and naive question.
I'm considering an acquisition of a Canada-based SaaS company, but the acquiring company is based in the US. I know SBA won't finance international acquisitions. Any advice for a purchase like this? Seller-financing, earn-out, or private equity backing seem like the only available options.
