Upstate NY - Looking for M&A attorney, asset based lenders

Currently negotiating an asset purchase agreement.  Initial agreement written - looking for NY attorney to review final version.

Also, approximately $6M in equipment assets - final appraisal upcoming plus approx. $1M in finished goods inventory and $3M real estate.  Looking for asset based lenders to cover current seller debt of $3.5M and options for commercial real estate sale/lease back or conventional loan.
