Structuring cross border deal for online business based in HKG

We are under LOI to acquire a small online business based in HKG from our US fund and trying to figure out best way to structure the deal. Funds are coming 100% from US onshore investors. Would appreciate input If from anyone who has experience with similar sort of transaction.
