Soft Commits on Capital

Hi all, The deal I’m working on creeps well past typical independent sponsor EV territory. I’m looking for guidance on getting soft commits from capital providers pre-LOI so that at least the introductions will be warm once the LOI is signed.

Are you raising a committed capital vehicle per a larger strategy or are you truly raising on a deal by deal basis? If the latter, do you have a target/ actively negotiating the LOI or are you truly pre-LOI where you’re still searching for a deal? It’s going to be very hard to soft circle capital from investors who invest on a deal by deal basis without a deal. If your thesis revolves around more of a “platform” play, you could probably get investors to commit capital based on a PPM/ investor deck/ etc. In that case we’ll typically have investors sign up to a term sheet.
