Seller Equity Hold Back / Buy in on completed deal?

Asking the community if anyone has successfully done a deal with an equity rollover ie a buy-in. What are the complications, and risk factors (assuming this is similar to a stock sale).

You will need to be mindful of tax issues. Typically, the seller is going to expect that the rollover will be structured to allow the seller to defer taxes.
