I'm looking for a regional SBA lender who serves the Dallas area who might be a fit for the following deal under LOI:

  • Stock deal with seller equity rollover (<20%), some equity granted to employees, and a seller note
  • $2.1m EBITDA
  • Provider of subscription-based healthcare e-learning products to institutions
  • All employees are remote; Buyer is in Texas
  • Limited fixed assets
  • Buyer background is private equity with an MBA from a top 3 school
