I’m an individual buyer looking to build out a reliable deal team for acquisitions with purchase prices generally $1 million or less. I’m currently evaluating and negotiating small deals at $250k-$350k SDE trading for 2x-3x multiples and am looking for professionals who regularly work with individual buyers/searchers on smaller transactions. My goal is to develop relationships with a team that understands that a $500K–$1M acquisition requires strong diligence and documentation, but also a practical approach to scope and fees that is appropriate for the size of the transaction. I’m particularly interested in recommendations or introductions for: 1. M&A / transaction attorney 2. Quality of Earnings / financial diligence provider 3. Tax / deal-structure advisor or CPA 4. Insurance / benefits diligence support 5. Any other specialists you believe are important for sub-$1M acquisitions without unnecessarily overbuilding the deal team. I believe independent attorneys, boutique firms, fractional professionals, and smaller diligence shops would likely be the best approach for transactions in this range. I am not looking for a large-firm process or a $50K+ diligence/legal bill on a $750K acquisition. For those who have acquired businesses in this size range: Who did you use and approximately what did you spend on legal and financial diligence? Also interested in hearing where you found it worthwhile to spend money versus areas where you felt buyers tended to over-diligence smaller transactions.
