I am seeking minority equity partners for the acquisition of a supplier of custom equipment, spare parts, and field service for a very small niche of large industrial equipment with ~15M/year in SAM. There is only one other company in the industry.
LOI is signed and the seller is highly motivated by retirement, so I am fundraising this week to close quickly.
The deal. $3.43M purchase price, 90% funded with an SBA 7(a) loan I am personally guaranteeing, 5% with a full standby seller note, and the last 5% will be investor equity. Investors receive participating preferred at a 10% annual return converting to common at a 1.75x step up.
The numbers. $2.76M revenue and $990K adjusted EBITDA in 2025, a 35.9% margin that varies +/- 10% based on product mix. Spare parts are roughly half of profit and recur as the installed fleet ages. Asset light and low overhead. All fabrication is outsourced to partner machine shops, so there is no plant, equipment, or capex. Overhead is a 1,400 square foot office.
35 active customers, several of whom now single source 100% of their spares to the company. 8+ customers have failing equipment that needs to be replaced in the next 5-10 years, which will cause a short-term surge in demand. The seller is not equipped to handle this surge/work with the engineers and managers in charge of the purchase decisions, but I have the engineering and sourcing experience to do so.
The seller is staying. Brad Manko runs day to day operations and holds the relationship for every account. He stays with salary plus a 10% profit share. His father, who founded the business in 2009, gives a six month transition. Both sign five year noncompetes.
About me. I will be running this full time. Mechanical engineering at Northwestern, MBA from Chicago Booth, and almost a decade designing automated material handling systems or leading manufacturing and strategic sourcing projects. This equipment is a larger version of the kind of equipment I designed at the beginning of my career, which is a large part of why the seller was comfortable with me.
