Search Fund - Firm incorporation

What is the recommendation regarding firm incorporation for Search Funds - does it have to be in the same geography as where the target company is ? Or can it be in a non-target company geography where tax laws/incorporation is easier (Ex: Singapore)?

Depends if you need finance for the holding company to puy the operating company. Funders may be wary of funding an offshore vehicle.
