Search entity in Luxembourg?

Luxembourg can make sense for a search vehicle if your investors are EU-based and like the SCSp format, or if you expect to hold acquisitions through a Lux SOPARFI later to benefit from participation-exemption and treaties. The trade-off is higher setup/admin/KYC and some substance expectations compared with a simple Delaware LLC or UK LLP. My rule of thumb: if your capital is mostly U.S. or you’ll own the target via a local country holdco anyway, start simple (Delaware/UK) and only add Luxembourg if the actual deal path truly needs it.
