Sample PPM

Hi All - I realize the Stanford primer extra materials include a sample PPM, but I am wondering if there are any other stand out example PPMs you can share? I am early on in my search journey and any insights help!

John is absolutely correct. One thing that people need to be careful about is that the SEC follows a doctrine known as the "one envelope rule", which traditionally stood for the proposition that everything contained in the same envelope as a PPM offering document would be deemed included in the securities disclosures and representations and warranties in the PPM, by virtue of being sent together. That doctrine has since become expanded with the progress of technology, such that today, if you have information on a website pertaining to the company making the offering, or other collateral materials in any medium, they may be deemed included if any person can claim that they relied on that information in making the decision to invest in your company.

Above comments are correct. Each situation is different and needs legal review to comply, so dont skip this crucial step.

BUT -> a quick google search for "free ppm sample online" comes out with a few results, one such site is templatelab and you can see a few samples free. Again, use it for review and for ideas only, dont copy, for obvious reasons.
