I'm just starting to connect with potential sellers and review deals. Curious how much energy y'all (buyers) put into reviewing/tweaking/negotiating language in the NDA from the seller?

I signed NDA’s almost on a daily basis and I request them pre-filled so that I just go ahead and provide the signature, date and name. I look at what is the level of responsibility of each part. Making sure there is no exclusivity or anything off, and call it a day.

If NDA came from Seller, you should do a quick review. If it came from a broker, it should be safe to sign. Our normal practice is no changes in NDA; however, once in a while we (our seller) will consider changes from a PE group, strategic buyer or a public company.
