Reverse Tuck-In / Reverse Bolt-On Acquisition
Does anyone have experience with Reverse Tuck-In acquisition? (as principal, practitioner or even just observer) The smaller business has IP, high margins, high growth, young innovative & hungry team - Finds a mature or "sunsetting" business with steady volume perhaps with no IP but High Volume + Underutilized assets/staff, etc Flexible seller - some combination of seller note/roll, Earn-In + accept shares of the acquirer as part of the "deal currency" I want to know: Fundamentals & Post-Merge Integrations, Value-Added, People Challenges... Ego challenges... Not just legal structure/mechanics. I know the Legal structure is probably always a "Triangular" Reverse via SPV, blah blah blah - thats the EASY part. Any Case Studies you can recommend? Good or Bad! TYVM!
