Hi I am looking for a good M&A post close attorney to issue a Recession Demand. Does anyone have someone good? Any advice on how to do this if I can see a 40-50% difference in revenue that was portrayed on the P&L and a large customer concentration lost before the sale, which was not disclosed.

I am sorry that you are dealing with these issues. My firm has handled a number of post-closing disputes including those related to breach of reps/warranties/disclosures. As you expect, they are rarely clean, very fact sensitive and vigorously disputed. Happy to discuss at a high-level if you'd like, but in any case, pull together your documents and consult with experienced counsel quickly as there are often fairly short, contract-based limitations periods based on the nature of the R&Ws. Best of luck.

We handle post-closing disputes and would be happy to discuss this matter further. As previously noted, the success of any such dispute will largely depend on the purchase agreement, including the applicable reps and warranties. With respect to the P&L discrepancy you mentioned, please clarify whether you believe this difference resulted from fraud on their part. You may reach me at your convenience to discuss next steps at redacted
