Recommendations for M&A counsel — small acquisition, pre-LOI
I'm preparing to submit an LOI on a profitable services business (~$1.2M revenue, ~$900K SDE) at a ~$3.5M enterprise value. Anticipated structure includes seller rollover equity, a substantial seller note, and senior outside capital. Looking for recommendations for transaction counsel with experience in: - Lower-middle-market acquisitions in the $3–5M EV range - Seller-financed structures with rollover equity and subordinated seller notes - Self-funded / independent sponsor deals — not traditional PE timelines or budgets - Working with the seller-side bank if SBA-aligned financing comes into play Looking for counsel I can engage initially for LOI review and negotiation, with a path to running the full transaction if we move forward.
