Closing an SBA 7(a) acquisition mid-October. Need a transaction tax advisor for a small, defined scope. Structure: seller runs a pre-close F-reorg, a separate RE LLC holds a building. Ops in Colorado and Utah. Target does ~$2.8M revenue. The ask is a few hours of independent review, not a standing engagement (though we will be looking for a longterm accountant, so certainly a great first step). Primarily needs to coach the seller (and us) through F-reorg steps, and make sure we're selecting the right founding structures for our entities. Boulder/Denver preferred, remote fine if they do this work regularly. Names plus a solid personal recommendation would be extremely appreciated!
