I'm going through a somewhat unusual corporate re-structuring process (contributing a personal LLC that holds an acquired asset into a newly formed C corporation) and need some advice on the tax implications of the asset transfer. I'm pretty sure the restructuring will qualify as a Section 351 exchange but want to engage a CPA on an hourly basis to provide an expert opinion.
I have talked to a handful of CPAs in the last week and all have said this is a specialty area that they aren't qualified to advise on. If you know a CPA with experience in assessing the personal tax implications of an asset transfer like this, I'd love a recommendation.
