Recommendation for personal CPA with M&A experience?

I'm going through a somewhat unusual corporate re-structuring process (contributing a personal LLC that holds an acquired asset into a newly formed C corporation) and need some advice on the tax implications of the asset transfer. I'm pretty sure the restructuring will qualify as a Section 351 exchange but want to engage a CPA on an hourly basis to provide an expert opinion.

I have talked to a handful of CPAs in the last week and all have said this is a specialty area that they aren't qualified to advise on. If you know a CPA with experience in assessing the personal tax implications of an asset transfer like this, I'd love a recommendation.

Thank you!

This is my opinion as someone with a fair idea or familiarity with this; I am not an expert, though: It sounds like you're on the right track considering this as a Section 351 exchange, as contributions of property to a corporation in exchange for stock are often tax-deferred when certain conditions are met. However, the devil is in the details, especially when it comes to determining the basis in the transferred assets, the stock received, and any potential gain recognition if liabilities exceed the basis of the contributed assets. For a case like this, I would recommend seeking a CPA or tax attorney who specializes in corporate structuring and M&A transactions. Professionals affiliated with boutique tax consulting firms or those with Big 4 tax advisory experience might have the specific expertise you need. Additionally, you might want to explore networking groups like AICPA's specialized tax section or even reach out to M&A-focused law firms, as they often have tax professionals in-house or reliable referrals. While I'm not an expert, I hope this perspective points you in the right direction!
