Purchasing ESOPs (employee stock ownership plan)

Does anyone have any experience or any advice with purchasing ESOPs?

I came across one company with structured like this, and I'm wondering whether there's any complication in purchasing one, and whether it's worth buying one in the first place.

Experience with the opposite (esop buying company), just thoughts on this structure. Would all of the current members be cashing out, and all assets become company owned? I don’t know how many members are currently in the ESOP, but buying from a group of sellers comes with challenges. A lot of different people in the mix to make happy.

^redacted‌ thanks for the tag. I have advised clients on strategic alternatives including structuring ESOPs when I was in banking. Definitely not a one size fit all strategy and quite complicated and costly. Happy to share the little that I know. PM me.
