Where science meets the deal table. This highly differentiated profitable investment bank is built exclusively for life sciences and healthcare, advising biopharma, medtech, diagnostics and related healthcare companies on M&A, capital raising and strategic transactions. Senior bankers with deep sector and transaction experience run every engagement themselves, from the first conversation through closing, and position each asset for strategic and financial buyers, while long-standing client relationships generate repeat and referral mandates. The firm has been profitable on a reported basis in every year from 2023 through 2025 with a mid-20s average reported EBITDA margin, and management projects 2026 at roughly $6.1MM in revenue and $2.0MM in reported EBITDA. Management has also identified roughly $8MM of success fees across six mandates expected to close by the first quarter of 2027, none of which is included in the 2026 projection. Reported results include certain non-recurring items, detailed in the CIM. Revenue combines advisory fees that are not contingent on a closing with success fees earned at closing, giving the business a fee base between transactions and upside when deals close.
The owners are seeking a strategic or financial partner to acquire the business and will reinvest approximately $6.0MM of their sale proceeds back into the business at closing to fund a well-defined and market-aligned growth plan with a clear path to liquidity. The buyer will control how it is deployed, so senior leadership stays invested in what comes next. Confidentiality is paramount in a relationship-driven business, so the location and identity of the Business will be shared once a qualified buyer is vetted.
NDA is required to receive comprehensive Confidential Information Memorandum (CIM) crafted by ProNova Partners.
Detailed Information
Facilities: Office-based, asset-light advisory business; location disclosed following NDA. No material equipment, inventory or real estate is required to operate.
The senior team works across in-person and remote client engagements nationally and internationally.
Competition: The firm competes with scaled healthcare investment banks and other specialist boutiques. It stands apart through a senior-led model and deep sector expertise applied to every mandate, giving clients credible positioning with technical buyers and specialist investors, and processes built to maximize both value and certainty of close.
Growth & Expansion: Management has identified clear, optional growth levers: adding senior bankers, broadening sector coverage, adding adjacent advisory and capital-markets services that existing clients already buy, and new workflow technology to lift banker productivity. A bank or advisory firm already in this space has an excellent opportunity to pair its capital markets, debt and distribution capabilities with the firm's specialist origination to grow both top line and bottom-line earnings.
Financing: Price and structure are open to proposals from qualified parties; cash at close, earn-out and seller financing will all be considered. The owners' approximately $6.0MM reinvestment keeps senior leadership aligned with the buyer.
Support & Training: The owners intend to remain actively involved after closing, with employment and transition terms to be negotiated to ensure continuity with clients and the senior team.
Reason for Selling: The owners are seeking a larger platform partner to scale the franchise and accelerate growth, while reinvesting alongside the buyer.
