Does anyone have recommendations for how to cope with a seller that has materially breached an asset purchase agreement and the good framework to weight the cost / benefits of litigation. Considering ongoing capital requirements to the business, how does being a plaintiff in a lawsuit impact they way lenders or equity investors will view follow-on financings? Thank you!

Do your best to stay out of court however there is certainly an advantage of being the first to file a complaint. Investors will want to see that the business was protected more than anything.
