Disclose all your liabilities. Disclose enough assets to cover all those liabilities and to cover all the costs related to searching for and finding the business you intend to buy. Showing more assets than that, especially cash, invites sellers to ask for more from you.

(Keep in mind that anybody who's been around for a while doesn't believe financial statements, so no matter how pretty you make them we assume it's lipstick on a pig.) Email me if you want to know what's actually important, and exactly how to do it, which is exactly what 99.7% of the prospective buyers are not doing correctly, and 110% of the business brokers and sellers wish you would do Instead of bothering them with your "show me everything about the business for sale because you can count on me to come up with the money if I want to buy it."
