Nevada Licensed RMO / Qualified Employee Agreement and Details

Finally found a great deal, which requires a Nevada C4 Painting/Decorating license. I have already located a great licensee, someone who currently holds the license, and is nearing retirement. I need advice on the terms, conditions, documentation and the proposal itself to get him set up as the Qualifying Employee for my new company. My understanding in NV is that the QE must "own" 25% of the company... Not sure if that will just have to be in the operating agreement or what. Could use some advice on how best to structure this, as I am meeting a great prospect tomorrow and want to lock up this deal.
