Need Help With Quality of Earnings and Due Diligence

I'm under LOI on a $4.5 mln HVAC, Plumbing, Electrical business in Minnesota serving apartment complexes and commercial buildings. I need some help with QOE and due diligence and possibly some capital raising as well. I'd appreciate any referrals.
