Moving a EU Saas company to the US prior to closing. (Debt requirements)

Currently in the process of raising equity for a Saas acquisition of a company based in Europe. I've had some preliminary conversations with some debt lenders who stated that we would need to have the target company moved to the United States prior to closing for them to lend. Curious if anyone has been through this process and could share their experience or insight into getting over this hurdle.
