Don't forget about tax diligence! Everyone focuses on financial, legal, and operations, but making sure the seller is compliant with all taxes (especially sales tax) is important because the tax authorities can still come after you even with an asset deal.

Employee length of tenure is not just important for skills, but a Seller may not actually care what happens to company or employees in many scenarios with no long term employees left.
