All,

I am active on a very sizable opportunity with the opportunity to invest in a minority and/or non-control position with negative controls.

Has anyone had experience with this type of opportunity, how have your funders looked at this type of investment and what if any impacts occur from your funders on economics, governance or other key items?

Thanks in advance,
David

Hi David – Not sure exactly what you're looking for, but I think the McGuire Woods survey might be helpful -- here is a link to the recording: https://www.youtube.com/watch?v=-i-8ZIJXBrk

Also, this article from AccessCapital might be helpful: https://www.accesscappartners.com/independent-sponsor-economics

Hey David, hope you are well. I do this kind of investing all the time. In a deal I recently did, it was important to be senior and also to have springing control rights if underperformance (in addition to contractual negative controls). Happy to discuss more if you want to ping me directly.
