Does anyone have any experience in acquisitions in the Med Spa space? Particularly, a non-physician group acquiring an MSO or physician run facility. Ohio, Pennsylvania or West Virginia preferred as most states have specific regulations.

Hi ^redacted‌, I've done a lot of work in adjacent spaces - health care, medical, etc. Yes, each state has different regulations as to whether they may be acquired or owned by non-licensed individuals. A few things will determine this - services provided and licensing requirements, whether the license must be held by practitioners and/or the business, whether all owners must be licensed, etc. I would recommend working with an attorney early on to identify what's possible depending on the profile of business and services and licensing requirements. Jesse, as you suggest, unique creatures in the health care space. Some jurisdictions are permissive regulatory environments and others are not. Most pursuing at scale anticipate corporate practice of medicine issues and seem to be structuring accordingly.
