Our primary growth lever is to build a dedicated sales function (BD + distributor/channel development + key account expansion) to accelerate top-line growth while maintaining margin discipline. Investor receives a preferred return, with a targeted payback within ~30 months from distributions (based on the base-case cash flow). After the preferred return is satisfied, the investor keeps the full 10% equity to participate in long-term upside as we scale the platform. That's an interesting combination, Carson. Since Medical and Marine are involved, check the asset integrity of their software systems as soon as possible. If they have unpatched legacy servers, the compliance liability under HIPAA or ISO will become your responsibility after the deal closes.
