Hi Searchfunder Community!
We are in discussions to acquire a company with close to $5M EBITDA. The deal is complex, with a seller roll, seller note, real estate and more. Decades old family-run company. A whole lot to recommend the deal. We are working on a financial model to bring in roughly $5M in equity and $5-10M debt finance, to acquire a 75% controlling stake. Looking for financiers and thought partners, anyone willing to offer guidance on deal structure and/or with experience engineering a deal of this size. Please reach out to me. Thanks!

David: we'd like to help as we've supported and helped close 20-30+ deals like this with $3-10MM of EBITDA led by experienced and successful entrepreneurs like you. Sounds like a nice opportunity! Happy to give you our thoughts and/or an hour or a few hours of coaching gratis; and, if we like the situation then we may pitch you on how we can get further involved. Ideally, we can bring all the equity and debt at the best terms for you and for the situation so you can maximize your economics and so we can collectively support the company for its long term growth and success. I'm at: redacted Thx!!

David - deals of this size are my firm’s bread and butter. I’d be happy to discuss idiosyncrasies and provide guidance. Feel free to use my calendar link:
