I have a nice SaaS deal that has flipped into a search fund deal, because the owner is looking to step away. Based in the Midwest. Profitable and good valuation for attractive searcher economics. We'd go raise the capital from the search community with an existing deal in hand. Person who would partner with me would be the CEO and lead exec officer day-to-day -- this would be a good opportunity for someone who would be predisposed to do a solo search. You'd be piped straight into a deal without needing to search for 2 years with the possibility of not closing on something. Debt seems to already be there (we have a credible term sheet already). Also, we wouldn't have the initial search capital preference overhang as the initial "search" capital would not be necessary, and thus less dilutive to your searcher economics.
