Looking for NJ buy-side attorney recs, SBA 7(a) acquisition of a small manufacturer
Under LOI on a precision machine shop in Northern NJ, about $1.2M, SBA 7(a) through a national preferred lender, targeting a Q1 close. Membership interest purchase of a NJ LLC taxed as a partnership, cash-free, seller keeps part of the AR, one equipment loan paid off at closing. Two selling members, one active, one silent. I need buy-side counsel who has closed SBA deals in New Jersey recently and runs them efficiently. Scope is the usual: LOI cleanup, operating agreement review, purchase agreement, a new 5 to 10 year lease with the landlord, employee IP assignments, a consulting agreement for the seller, and coordinating with lender counsel through closing. Looking for someone who: • Is NJ-licensed and has closed SBA 7(a) acquisitions in the state in the last year or two • Quotes flat or capped, roughly $10K to $20K for a deal this size • Turns an LOI markup in days, not weeks • Has an opinion on membership interest vs. asset purchase for a partnership-taxed LLC under the current SOP Solo practitioners and small firms welcome. If you've used someone and would use them again, I'd appreciate the name and a sentence on how it went. Happy to share back what I learn.
