Looking for equity & debt financing of $4M for 1.54x Adj. EBITDA under LOI

With a signed LOI in hand, I need to pull together equity and debt financing of $4M to support an 11/2/2021 close.

Looking for equity investors and a private or non-bank lender.

For several reasons, a SBA loan is not possible.

Targeting:
-Investor Preferred Return of 8% -Investor participation in common stock of 10% - 40%

Open to the below types of Investors: -Passive investors that want to receive quarterly business updates on the status and go forward plan while having voting rights on key decisions. -More active investors that would join my board and contribute in an oversight capacity.

Located in FL:

2021 Revenue (est) $7.8M, Net Income (est.) $3M

2020 Revenue $6.3M, Net Income $2.2M

2019 Revenue $3.9M, New Income $0.8M


Assets included in purchase: Equipment & Vehicles: $950k Land/Property: $750k

85% customer concentration from #1 customer. (Customer is a 60 y/o national home builder listed on the NASDAQ and has been #1 customer from the start of the company’s history, 9+ year relationship. Seller has a 1 to many relationship with this customer, it is not just centered on one key person)


Company services: Grading, excavation, culverts, and land clearing for residential and commercial builders

Growing an average of 25%+ each year over the past three years.

Owner facilitating a 6-month transition and half of management team staying on for a minimum of 2 years in an employment contract.

My background experience is a great match for this company. I spent the better part of my 4 years in the Marine Corps leading teams doing very similar site development work from clearing jungles in the Philippines to creating roads and related infrastructure in Afghanistan.

I'm curious to hear how investors feel about 85% concentration with a single customer? Also, general thoughts on investing in the construction sector which is notorious for boom/bust cycles? On the other hand, the 1.5 multiple and 25% CAGR are pretty sweet.
