I’m looking for someone who can help me navigate an interesting purchase.

The target firm is a medical devices supply and distribution business, being operated as a partnership.

As I understand, partnerships are not durable through change of membership, including additions and departures of members. Share purchases are out, as the partnership would have to re-structure to become a company in order to transact under share purchase.

This makes the supplier/buyer relationships, which are so valuable, subject to being novated/assigned to the NewCo post acquisition.

Is there anyone who would lend on this acquisition?
