Looking for an M&A lawyer who will accept equity in lieu of payment

My partner and I are closing in on a deal for a small US-based professional services business. We are looking for an M&A lawyer/law firm to draw up the relevant documents in exchange for equity in the target acquisition, rather than payment.

A full time solo practitioner attorney might prefer the "guarantee of the paycheck" to cover over head costs and I can nearly guarantee a law firm would require payment.A part time attorney (meaning someone willing to take this on for the equity comp and devote night/off work hours to the project) might not be able to provide the full support you are probably needing.There are firms who would conduct the legal due diligence and draft the purchase documents (and other ancillary documents to "button up" due diligence concerns); however, there is concern with legal malpractice should a DD mistake be made on the firm's part.
If the goal is to utilize capital elsewhere, ignore the rest, but you might consider going with a firm/solo practitioner and getting comfortable with your counsel.Once the purchase is finalized, and you enjoy working with the attorney, consider offering equity and a lower base to entice the lawyer to join your new company as in-house counsel and trusted advisor.
Again, my two cents, and I hope you are able to find the right counsel to shepherd you through this process.

Depending on what you need done, it may not make sense to exchange equity simply for drafting some documents.You can find an M&A attorney to draft all the documents you need for around $5k - $10k which I presume would be a better deal than giving up equity.
