Looking for an attorney with both venture capital and hold-co experience

Hi all,

I'm in the process of raising capital from a venture capital firm (which will take the form of an equity investment in my hold co). This investment is coming after I successfully completed a self-funded search acquisition (so I have one asset in the hold-co portfolio that was purchased without outside investment).

I need an attorney who can help me figure out the right structure & terms for this situation, help prepare documents needed to convert our existing LLC into a corporation, and ideally also someone who would want to serve as our general counsel going forward.
