Nhan, perhaps to state the obvious, my advice would be to find a firm with healthcare M&A expertise within the states where your target is operating and prior experience supporting acquisitions of long-term care facilities in those states (including knowledge of the process of applying for and obtaining a certificate of need, if required ). Industry agnostic lawyers can handle most M&A transactions with proficiency, but in regulated industries you'll be far better served by specific expertise. Other searchers have been surprised late in the process of acquiring healthcare businesses when they "discovered" regulatory obstacles that should have been identified day one ...
